Affiliate Policies & Procedures (Version 1.0 – Effective August 1, 2025)

Introduction

These Affiliate Policies & Procedures (“Policies”) govern the participation of independent Affiliates (“Affiliates”) in the B3 Sciences Affiliate Program. By registering as an Affiliate, you agree to abide by these Policies and all guidelines issued by B3 Sciences Inc. (“B3”).

Affiliate Rights & Status

3. a) I am authorized to promote and sell B3 products and services using my unique affiliate link.
   b) I may refer other Affiliates and earn referral bonuses on qualifying customer purchases.
   c) I am an independent contractor, not an employee or representative of B3. I am solely responsible for all taxes, expenses, and business activities related to my affiliate participation.
4. d) I certify that I am of legal age in the state or country that I reside in
   e) I may terminate my Affiliate account at anytime by contacting B3 Sciences at [email protected]
   f)  I may not assign or transfer my affiliate account without B3’s written permission.

Independent Affiliate Status

Affiliates are independent contractors—not employees or agents of B3. Affiliates may promote B3 products and services using approved tools, links, and assets provided by B3. You must always present yourself as a “B3 Affiliate” or “Independent B3 Affiliate.”

Earnings Structure

Affiliates are paid commissions based only on customer purchases via their affiliate links:

• Tier 1 – Direct Customer Bonus: 25% of qualifying retail purchases
• Tier 2 – Referral Bonus: 10% of sales made by directly referred Affiliates
• The 25% and 10% bonuses are paid on the Bonus Volume (BV) of B3 products. BV values are located in the Affiliate Back Office or by request to [email protected]
• Bonuses are paid only on product sales. No bonuses are paid for recruiting.
• Commissions are processed monthly on the 10^th of the following. Affiliates who have sales activity in their 2 tiers will receive an email with a sales and bonus report
• Any Affiliate who accumulates a minimum of $50 will have their funds transferred to PayQuicker.
• PayQuicker will then send an email to the Affiliate on ~ the 11^th of each month.
• Affiliates can then register their account, file a tax statement, then easily access their funds at any time.
• B3 reserves the right to make changes to the Bonus plan. Any changes will be posted in the Affiliate Back Office and an email will be sent to all Affiliates
• Affiliates understand that if a customer returns products via the B3 30 Day Guarantee, and bonuses
  have already been paid; B3 will request a reversal of Bonuses from PayQuicker, or B3 will place a debit in the Affiliate’s account that will be deducted from future Bonuses

 

Income Disclosure Acknowledgement

• I understand that B3 does not guarantee earnings. Any income I generate is based on my personal effort, marketing skill, and customer acquisition.

Conduct & Brand Representation

Affiliates must always:

• Represent B3 truthfully, ethically, and without exaggeration
• Avoid misleading product or income claims
• Never imply government endorsement or make unapproved health claims
• Avoid false, deceptive, or negative comparisons with competitors
• Uphold the reputation of B3 in all public and private communications

Marketing & Social Media

Affiliates may promote B3 using personal websites, blogs, and social media under the following conditions:

• Sales may only occur via official B3 shopping carts or links
• Social media promotions must clearly identify you as an “Independent B3 Affiliate”
• No unapproved product claims or testimonials
• No sales via Amazon, eBay, or unauthorized marketplaces
• Affiliate-created marketing materials must be submitted for B3 approval prior to use

Use of Trademarks & Copyright

Affiliates are granted a limited, non-transferable license to use B3 trademarks and materials only during active participation in the program. Upon termination or inactivity, all B3 branding must be removed from websites, social platforms, and marketing materials.

Referral Integrity

To ensure fair sponsorship:

• Prospects must be referred by the first Affiliate who introduced them to B3, shared product info, or provided a demo or samples
• If a prospect received a demo or loaner set, they remain assigned to the original Affiliate until returned + 7 days
• Violations of referral integrity may result in bonus forfeiture or account suspension
• Affiliates must ask new prospects if they have had prior contact with another B3 Affiliate.

Prohibited Activities

The following are strictly prohibited and may result in account termination:

• Recruiting other B3 Affiliates to switch sponsors
• Sharing private customer or Affiliate information without consent
• Selling B3 products in unauthorized retail settings without approval
• Making medical claims about B3 products
• Displaying or distributing altered or unapproved B3 content
• Creating price-based advertisements or public discount offers

Termination & Account Inactivity

• Affiliates may cancel at any time by notifying [email protected]
• Accounts with no sales or referral activity for 12 months may be deactivated
• B3 may terminate an account for violation of these Policies or for conduct that harms the brand

Limitation of Liability & Indemnification

• I release B3 and its affiliates from all liability for any claims, damages, or expenses arising from my independent business activities. I agree to indemnify B3 for any liability resulting from my misconduct or noncompliance with this Agreement.

Dispute Resolution

All disputes will follow a 3-step process:

1. Informal discussion with B3 support
2. Mediation (if necessary)
3. Final arbitration in Dallas, Texas (or small claims court if applicable)
4. Affiliates waive class action rights and agree to resolve disputes individually

Final Notes

• B3 reserves the right to update these Policies at any time.
• Affiliates will be notified via the B3 Back Office of any changes.
• These Policies are governed by the laws of the State of Texas.
• B3 may transfer this Agreement to another entity as part of a sale or restructuring.
